3. The object of the transaction may otherwise reasonably be regarded as being the acquisition of day-to-day control of the affairs of the body corporate.

JWA is not subject to regulation by the FCA, Central Bank of Ireland, or any other regulatory authorities, and therefore, does not provide any activities that require regulatory approval.  In the United Kingdom, JWA relies upon the Sale of a Body Corporate exclusion from The Financial Services and Markets Act 2000 (Regulated Activities) Order 2001, which excludes from article 25(1) and (2) of that order, activities carried on in connection with the sale of a body corporate.
